Terms of Service | Lead Dispatcher

These Terms of Service govern your use of Lead Dispatcher, operated by Marvin (SIREN 907 981 237), a company incorporated under French law. By using the service, you agree to these terms.

1. Acceptance of Terms

By accessing or using Lead Dispatcher ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Lead Dispatcher is a B2B SaaS platform that routes inbound MQLs (Marketing Qualified Leads) and meeting requests to the appropriate sales representative based on configurable rules including territory, deal size, rep expertise, and availability. The Service integrates with CRM platforms (Salesforce, HubSpot, Pipedrive) and calendar/scheduling tools.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is intended for business use only and is not available to individual consumers.

4. Account Registration

To access the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your account credentials and not share them with unauthorized parties.
Notify us immediately at support@leaddispatcher.io of any unauthorized access to your account.
Accept responsibility for all activity that occurs under your account.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations.
Transmit spam, unsolicited messages, or bulk commercial communications.
Upload or transmit malicious code, viruses, or harmful software.
Attempt to gain unauthorized access to the Service or its infrastructure.
Scrape, copy, or reverse-engineer any part of the Service without prior written consent.
Resell or sublicense access to the Service without authorization.
Use the Service in any way that could impair its performance or availability for other users.

6. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Fees are:

Billed in advance on a monthly or annual basis.
Non-refundable except as required by applicable law or as explicitly stated in a separate agreement.
Subject to change upon 30 days' advance notice to your registered email address.

We use Stripe to process payments. Your payment information is transmitted directly to Stripe and is not stored on our servers.

7. Integrations and Third-Party Services

The Service may integrate with third-party platforms (CRMs, calendars, Slack, etc.). Your use of those integrations is also governed by the third party's terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such processing.

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service. We will not access, use, or disclose Customer Data except as necessary to operate and improve the Service or as required by law.

9. Intellectual Property

All intellectual property rights in the Service — including software, design, trademarks, and content — are owned by Marvin or its licensors. These Terms do not grant you any rights to the Service's intellectual property other than the limited license to use the Service as described herein.

You retain all intellectual property rights in your Customer Data.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only to exercise rights or fulfill obligations under these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARVIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL MARVIN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Marvin and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Term and Termination

These Terms are effective from the date you first access the Service and continue until terminated. Either party may terminate at any time:

You: by canceling your account through the account settings or by contacting support@leaddispatcher.io.
Us: by providing 30 days' written notice, or immediately if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. We will delete your Customer Data within 90 days of termination unless required by law to retain it.

15. Governing Law and Disputes

These Terms are governed by the laws of France. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Marvin regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any provision does not constitute a waiver of our right to do so in the future.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
